Key Points:

  • BMO has completed the sale of its Transportation Finance and Vendor Finance businesses to Stonepeak, transferring approximately C$11 billion of loans and leases at closing.
  • The transaction is expected to strengthen BMO’s CET1 capital ratio by approximately 23 basis points in the fourth quarter of fiscal 2026.
  • BMO retains a 19.9% interest in the Stonepeak-managed entity, maintaining exposure to the businesses’ long-term value creation while reducing its direct operational involvement.

BMO Financial Group has completed the previously announced sale of its Transportation Finance and Vendor Finance businesses to Stonepeak, marking a further adjustment to the bank’s lending portfolio and business structure. The transaction transfers a substantial portion of the combined loan and lease portfolio while allowing BMO to retain a minority economic interest in the businesses, which will operate under the name Longview Capital Solutions.

Portfolio Transfer Advances BMO’s Business Restructuring

At closing, BMO transferred approximately 75% of the estimated C$14.5 billion combined loan and lease portfolio, representing around C$11 billion, to Stonepeak. The remaining balances are expected to transfer during the first quarter of fiscal 2027, subject to customary conditions.

The transaction represents a significant reduction in BMO’s direct exposure to these specialized financing operations. Rather than retaining full ownership and operational responsibility, the bank is transitioning the businesses to Stonepeak while maintaining a financial interest in their future development. This structure allows BMO to adjust its portfolio composition without entirely relinquishing participation in the businesses’ potential long-term value creation.

Capital Position Receives a Measurable Benefit

One of the transaction’s principal financial implications is its expected contribution to BMO’s regulatory capital position. The bank anticipates that the sale will improve its common equity Tier 1 (CET1) ratio by approximately 23 basis points in the fourth quarter of fiscal 2026.

For a large North American banking group, capital efficiency remains an important consideration in managing balance-sheet capacity, regulatory requirements, and future business priorities. The expected improvement provides additional capital flexibility, although BMO has not specified in the announcement how it intends to deploy the resulting capacity.

Retained Stake Preserves Long-Term Economic Participation

Despite completing the sale, BMO will retain a 19.9% interest in the Stonepeak-managed entity acquiring the businesses. This arrangement gives the bank continued participation in their long-term value creation while transferring majority ownership and operational control.

BMO and Stonepeak have also entered into a transitional services agreement. Under this arrangement, BMO will provide certain services to support an orderly transition for clients. The agreement is intended to facilitate continuity as the businesses move to their new ownership structure and adopt the Longview Capital Solutions name.

What Investors Should Monitor Next

The remaining portfolio transfers, expected in the first quarter of fiscal 2027, will be an important milestone in completing the transaction. Investors will also be watching for confirmation of the anticipated CET1 improvement and further disclosures regarding BMO’s retained minority interest. More broadly, the transaction illustrates how established banks can reshape specialized lending operations while balancing capital efficiency with selective participation in businesses outside their core operating structure.
