The Bank of New York Mellon Corporation (BNY) has priced a $1.25 billion underwritten public offering of depositary shares representing interests in its Series O Noncumulative Perpetual Preferred Stock. Announced on October 19, 2026, the transaction represents a significant capital-markets operation for the global financial services institution. The offering is expected to close on October 28, 2026, subject to the applicable closing conditions.
For institutional investors and internationally diversified wealth holders, the transaction offers insight into how a major financial institution structures its funding. Preferred stock can provide capital without the same contractual maturity profile as conventional debt, although its dividend terms, redemption provisions and position within the capital structure differ from those of ordinary shares and senior obligations.
The offering comprises 1.25 million depositary shares, each representing a 1/100th interest in one share of Series O preferred stock. Each depositary share is priced at $1,000 and corresponds to a $1,000 liquidation preference, while each underlying preferred share carries a $100,000 liquidation preference.
The preferred stock is designated noncumulative and perpetual. Perpetual means the securities have no stated maturity date, while noncumulative means that dividends not declared do not automatically accumulate as amounts payable in later periods. These characteristics distinguish the instrument from conventional fixed-maturity borrowing and make its contractual terms central to evaluating its income profile and risk.
BNY set the initial annual dividend rate at 7.125% from the original issue date through December 19, 2031. Beginning December 20, 2031, the rate is scheduled to reset to the five-year Treasury rate, as defined in the preliminary prospectus supplement, plus 2.192%.
This two-stage structure establishes a specified initial rate while introducing interest-rate sensitivity after the first reset date. Future dividend income will depend on the applicable Treasury benchmark and the contractual spread. However, dividends are payable only if declared by BNY’s board of directors or an authorized committee, and only when the company has legally available funds. The stated rate should therefore not be interpreted as an unconditional payment guarantee.
BNY may redeem the Series O preferred stock, in whole or in part, on December 20, 2031, or on any dividend payment date thereafter. The cash redemption price is $100,000 per preferred share, equivalent to $1,000 per depositary share, plus any declared and unpaid dividends. Undeclared dividends do not accumulate for payment upon redemption.
Barclays Capital, BofA Securities, Deutsche Bank Securities, Goldman Sachs, Morgan Stanley and BNY Mellon Capital Markets served as joint book-running managers. The transaction’s final significance will depend on its completed issuance and BNY’s broader capital-management decisions; the announcement alone does not establish how the proceeds will be deployed.
For sophisticated investors, the central consideration is the balance between the preferred stock’s stated income terms, its noncumulative dividend provisions, and its perpetual structure. The post-2031 reset and BNY’s optional redemption rights are particularly relevant when assessing the instrument’s longer-term characteristics.
